Plain summary: these terms explain how the website may be used, how projects are scoped and priced, who owns what is built, how confidential material is protected and where responsibility sits. Where a signed engagement agreement exists, that agreement governs the project and these terms fill any gaps that it does not address.
1. Agreement to These Terms
By visiting this website, submitting an enquiry, accepting a proposal or entering into an engagement with auralpay llc, a person or organization agrees to these Terms of Service. A person who does not agree should discontinue use of the website and should not proceed with an engagement.
These terms form a legal agreement between the visitor or client and auralpay llc. Where the person accepting the terms does so on behalf of an organization, that person confirms that they hold authority to bind the organization.
If an engagement agreement or statement of work has been signed by both parties, the order of precedence is the signed agreement first, then the statement of work, then these terms, then the proposal unless the signed documents say otherwise. No purchase order term, vendor portal click-through or counter clause changes these terms unless auralpay llc agrees in writing.
The website is published under the developer name AuralPay. That name identifies auralpay llc in platform listings and store records, and these terms apply to the same organization in every such listing.
2. Definitions
In these terms, auralpay llc means the company registered at 4360 S Redwood Rd Ste 4, Taylorsville - 84123-2203, United States (US), and includes its employees and authorized contractors. The word studio refers to auralpay llc in its role as the provider of services.
Client means the person or organization that engages auralpay llc to perform services. Services means the design, engineering, build, integration, reconciliation, support and advisory work described in a proposal or statement of work. Deliverables means the documents, code, configurations, test results, reports and other materials that auralpay llc hands to a client under an engagement.
Confidential information means non-public information disclosed by one party to the other in connection with an engagement, including business plans, payment data, audio records, source code, pricing, system designs and client lists. Personal information has the meaning given in applicable privacy law and is described further in the Privacy Policy.
Production environment means a system that processes live payments or live customer records. Staging environment means a non-production copy used for testing and review.
3. Website Use
This website is provided for information about auralpay llc and its services. Visitors may read the pages, print a copy for internal reference, link to the pages and send enquiries. All other use requires written permission.
Visitors must not attempt to gain unauthorized access to the website, the hosting environment or any connected system; must not probe, scan or test the vulnerability of the site without written authorization; must not interfere with the availability of the site; must not send automated traffic that degrades the service; and must not submit unlawful, misleading or harmful content through any form.
The text, layout, stylesheets, scripts and illustrations of this website are the property of auralpay llc or are used with permission. No part may be copied into another website, marketing material or product without written consent. Quoting a short passage with attribution for review or commentary is permitted.
auralpay llc may suspend or restrict access to the website for maintenance, security or any other operational reason. The studio does not guarantee uninterrupted availability.
4. Services Offered
auralpay llc provides computer integrated systems design services with a focus on voice-ledger payment workflows. The service catalogue includes Voice Payment System Design, Audio Identity Integration, Billing Workflow Engineering, Merchant Console Builds, Ledger Reconciliation Pipelines and Ongoing Systems Support. A detailed description of each track appears on the Services page.
The studio normally works on fixed scope projects and retained support arrangements rather than staff augmentation, although a time and materials arrangement can be agreed for discovery or emergency work. Each engagement is described in a statement of work that sets out the objective, the scope, the assumptions, the delivery milestones, the acceptance criteria and the fee.
auralpay llc does not provide legal, tax, accounting or regulatory advice. Design decisions that depend on a legal interpretation, such as the wording of a consent notice or the retention period for payment records, remain the responsibility of the client and its advisers. The studio will explain the technical implications of a decision and will implement the client chosen position.
5. Scoping and Proposals
Engagements usually begin with a scoping session in which the client describes the current payment path, the records it produces and the outcome it wants to reach. The studio may ask for sample records in de-identified form, system diagrams and access to a staging environment. Anything shared during scoping is treated as confidential information.
A proposal states the scope that auralpay llc understands, the work it proposes, the assumptions behind that work, the estimated timeline and the fee. A proposal remains valid for thirty days unless it says otherwise. A proposal is not a commitment to deliver until both parties sign a statement of work.
Where scoping reveals that the requested outcome depends on an assumption that cannot be verified, the proposal says so. The studio prefers a smaller honest scope to a large promise that cannot be kept. If the client later supplies information that changes the assumptions, the change control process applies.
6. Engagement Terms
An engagement begins on the start date in the statement of work and continues until the deliverables are accepted, the support period ends or the engagement is terminated under these terms. The statement of work sets out the lead engineer, the client owner, the communication rhythm and the escalation path.
auralpay llc performs the services with reasonable skill and care, using personnel who are suitably experienced for the work. The studio may use subcontractors for defined tasks where the statement of work allows it and where the subcontractor is bound by equivalent confidentiality and security obligations.
The studio works to the milestones in the statement of work but does not guarantee a particular calendar date where a delay is caused by the client, a third party provider, a platform change or a force majeure event. Where a milestone is at risk, the studio will tell the client as soon as it becomes aware.
Client staff and studio staff will communicate through the channels named in the statement of work. Decisions that change scope, fee or timeline must be recorded in writing, either in a change order or in an email that both parties confirm.
7. Client Obligations
The client agrees to nominate a project owner with authority to approve work, to provide timely access to systems, documentation and subject matter experts, and to supply accurate information about the payment path. The client also agrees to obtain any consent or internal approval needed for the studio to access its systems.
The client is responsible for the accuracy of the business rules it asks the studio to implement, for the lawfulness of the data it supplies, for obtaining any required consent from its own customers, and for the content of its own privacy notice and customer terms. The studio will support these duties with technical detail but cannot assume them.
The client agrees to keep credentials confidential, to notify the studio promptly if a credential is compromised, and to maintain the security of the environments that it controls. Where a client system is breached because of a weakness in the client network or a client staff action, the studio will assist with investigation but is not responsible for the breach.
The client agrees to respond to review requests within the period stated in the statement of work. A delay in review extends the delivery timeline by at least the length of the delay.
8. Fees and Payment
Fees are stated in the proposal and the statement of work. Unless agreed otherwise, projects are billed in installments tied to milestones, and support is billed monthly in advance. Travel, third party license fees and infrastructure costs are billed at cost with prior written approval, or are paid directly by the client.
Invoices are payable within thirty days of the invoice date unless the statement of work says otherwise. Payments are made in the currency stated on the invoice. Bank charges and transfer fees are borne by the client. The studio may suspend work on overdue invoices after giving written notice and a short cure period.
Fees exclude applicable sales, use, value added or similar taxes, which the client pays in addition except where a valid exemption certificate is provided. Late amounts may attract interest at the lower of one percent per month or the maximum permitted by law.
Payments to auralpay llc should be directed as shown on the invoice, and questions about an invoice may be sent to billing@auralpay.hair or raised by telephone at +15077678395. The studio will correct a genuine invoicing error promptly and will not charge interest during a good faith dispute.
9. Delivery and Acceptance
auralpay llc delivers each milestone through the agreed channel, usually a repository, a staging environment and a written summary. The summary states what was built, what was tested, what remains open and any assumptions that still need confirmation.
The client reviews each milestone against the acceptance criteria in the statement of work and responds within ten business days. A milestone is accepted when the client confirms acceptance in writing or when the review period ends without a written objection that identifies a material failure against the stated criteria.
Where the client raises an objection, the studio will assess it and either correct the issue or explain why the behavior matches the agreed specification. Work that responds to a change in requirement rather than a defect is handled through change control.
For voice-ledger systems, acceptance testing includes a sample of real spoken entries, an exception case and a reconciliation check against a known statement. The studio supplies a test script and expected results so that the client can repeat the test independently after handover.
10. Change Control
A change request is any request that alters the scope, the assumptions, the acceptance criteria, the delivery date or the fee in a statement of work. Change requests are welcome and are handled in a simple written process.
The client submits a change request describing the outcome it needs and the reason for the change. The studio assesses the impact on scope, timeline and fee, and replies with a written change order. Work on the change begins when the change order is accepted by both parties.
Where a change is urgent and a written order cannot be completed first, the studio may act on a written email confirmation from the client owner and will document the change afterwards. The studio will not begin a material change on a verbal instruction alone.
Changes that arise because a third party provider has altered its interface, retired an endpoint or changed a rule are treated as external changes. The studio will describe the work required and, where the change falls inside a paid support arrangement, will handle it under that arrangement.
11. Intellectual Property
On payment of the relevant fees, auralpay llc assigns to the client the copyright in the custom deliverables created specifically for that client under the statement of work, excluding pre-existing materials, general methods, templates, libraries and third party components.
auralpay llc retains ownership of its pre-existing materials and of the general methods, patterns, documentation structures and internal tooling that it uses across projects. Where pre-existing material is embedded in a client deliverable, the studio grants the client a perpetual, non-exclusive, royalty free license to use it as part of that deliverable.
Nothing in an engagement transfers ownership of the studio brand, the auralpay llc name, the AuralPay developer name or the visual identity of this website. Nothing transfers ownership of a client brand either.
Unless the client objects in writing, the studio may describe the engagement in general terms in its portfolio, stating the industry and the type of system built without disclosing confidential details. Any named reference requires the client written approval, which may be withdrawn at any time.
12. Confidentiality
Each party agrees to keep the other confidential information in strict confidence, to use it only for the purposes of the engagement and to disclose it only to personnel or advisers who need it and are bound by equivalent obligations. Confidential information is protected for the duration of the engagement and for five years afterwards, and indefinitely for trade secrets.
These obligations do not apply to information that is already public without breach, that was lawfully known before disclosure, that is received from a third party without a duty of confidence, or that is independently developed without use of the confidential material. Disclosure required by law or a court order is permitted after notice to the other party where lawful.
On termination, each party returns or destroys the confidential information of the other, except for one archival copy kept for legal and accounting purposes. That copy remains subject to confidentiality.
13. Data and Privacy
Personal information is handled as described in the Privacy Policy published on this website. Where the client is the controller of personal information, the statement of work includes a data processing schedule that sets out the instructions, the security measures, the subprocessors and the assistance the studio provides for data subject requests and incident response.
The studio will not use client personal information for its own marketing, will not combine it with data from other clients and will not transfer it outside the agreed locations without written instruction. De-identified data may be used to improve the studio methods where the client agrees that the de-identification is robust.
The client is responsible for ensuring that it has a lawful basis for the data it supplies and for the retention periods that it instructs. The studio will flag a setting that appears inconsistent with the client own policy and will implement the client final decision.
14. Third Party Components
Projects often rely on payment providers, telephony platforms, cloud services, identity vendors and open source libraries. Those components are governed by their own terms and licenses, and the studio passes through the relevant terms to the client at handover.
Where an open source library is incorporated, the studio maintains a component list with licenses and required notices. The client agrees to keep the notices in the deployed system. The studio avoids components whose licenses would require the client to disclose its own source code unless the client agrees in writing.
auralpay llc is not responsible for the availability, pricing, accuracy or security of a third party service, nor for a change that a provider makes to its interface. The studio will notify the client of a material provider change that it discovers and will scope any remedial work under the support terms.
15. Support and Maintenance
Ongoing systems support is available as a monthly arrangement with a defined response window, an escalation path and a monthly review. Support covers incident response, monitoring review, dependency updates, minor adjustments and help with provider changes. It does not cover new features or large redesigns, which are scoped separately.
The response window begins when the client reports an issue through the agreed channel with enough detail to reproduce it. Severity levels are agreed in the statement of work, usually separating a full outage of a payment path from a partial degradation and from cosmetic or advisory issues.
Support is renewed monthly unless either party gives thirty days written notice. Support may be paused if an invoice remains unpaid after a written reminder, and will resume when the account is current.
16. Warranties and Disclaimers
auralpay llc warrants that the services will be performed with reasonable skill and care by qualified personnel, that the deliverables will materially conform to the statement of work at acceptance and that the studio has the right to grant the licenses described in these terms.
Except for the warranties stated above, the services and the website are provided as available, and auralpay llc disclaims all other warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. The studio does not warrant that a system will be free of every defect, that a third party provider will remain available or that a spoken recognition path will be correct in every acoustic environment.
The client is responsible for the operational decisions it takes on the basis of system output, for the supervision of staff who use the console and for compliance with the payment network rules that apply to its business.
Nothing in these terms excludes a warranty or right that cannot lawfully be excluded, including rights that a consumer may hold under mandatory law. These services are offered to businesses, and consumer rights are not affected where a consumer engages the studio directly.
17. Limitation of Liability
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, goodwill, anticipated savings, business opportunity or data, however arising and whether or not the party was advised of the possibility of that loss.
The total liability of auralpay llc arising out of or in connection with an engagement is limited to the fees paid by the client to the studio under the applicable statement of work in the twelve months preceding the event giving rise to the claim. Where the claim arises from a breach of confidentiality or from an indemnity obligation, this cap does not apply.
Each party will take reasonable steps to mitigate a loss that it suffers, and a claim must be brought within the period set by applicable law or, if longer, within two years of the date on which the claimant became aware of the facts giving rise to it.
Nothing in this section limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited by law.
18. Indemnity
auralpay llc will defend the client against a third party claim that a custom deliverable, as delivered by the studio and used within the scope of the statement of work, infringes a United States copyright or trade secret. The studio will pay damages and costs finally awarded against the client on that claim, provided the client notifies the studio promptly, gives the studio control of the defense and cooperates reasonably.
The studio may, at its option, procure a right for the client to continue using the deliverable, replace or modify the affected part, or terminate the engagement and refund the fees paid for the affected deliverable. This obligation does not apply where the claim arises from client supplied material, a modification made by someone other than the studio, use outside the agreed scope or a third party component used under its own license terms.
The client will defend and indemnify auralpay llc against a third party claim arising from client data, client instructions, a client product or a client breach of law, provided the studio gives prompt notice and reasonable cooperation.
19. Termination
Either party may terminate an engagement for material breach if the breach is not cured within thirty days of written notice describing it. Either party may terminate a monthly support arrangement on thirty days written notice. Either party may terminate immediately if the other becomes insolvent, enters administration or ceases to carry on business.
On termination, the client pays for work performed and expenses incurred up to the termination date, and the studio hands over the deliverables completed at that point and any client material in its possession. Amounts already invoiced become payable under the normal terms.
Sections that by their nature should survive termination, including confidentiality, intellectual property, indemnity, limitation of liability and governing law, remain in force after the engagement ends.
The studio may also decline new work or end a proposal discussion where a project would require conduct that is unlawful, deceptive or in conflict with a payment network rule, and will explain the reason without disclosing the details of another client engagement.
20. Force Majeure
Neither party is liable for a failure or delay in performance caused by an event beyond its reasonable control, including natural disaster, epidemic, war, civil unrest, industrial action, widespread network failure, a prolonged power outage or an act of government. The affected party will notify the other promptly, will use reasonable efforts to resume performance and will keep the other informed of progress.
If a force majeure event continues for more than sixty days and materially affects an engagement, either party may terminate the affected statement of work on written notice. Work already performed and costs already incurred remain payable, and the studio will hand over completed deliverables.
21. Governing Law and Disputes
These terms and any engagement are governed by the laws of the State of Utah in the United States, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Utah for any dispute that is not resolved by discussion.
Before starting a formal proceeding, the parties will attempt in good faith to resolve a dispute through a senior representative of each side within thirty days of a written notice describing the issue. That discussion is confidential and does not affect either party rights.
Where the parties agree, a dispute may be referred to mediation or arbitration in Utah. Any arbitration award is final and may be entered in any court of competent jurisdiction. Nothing in this section prevents a party from seeking urgent injunctive relief to protect confidential information or intellectual property.
22. General Provisions
Entire agreement
These terms, the statement of work and any signed engagement agreement form the entire agreement between the parties on the subject and replace any earlier understanding. A statement in a proposal or a sales conversation does not add a term unless it is repeated in the signed documents.
Assignment
Neither party may assign an engagement without the other written consent, except to a successor in a merger or sale of substantially all assets, provided the successor assumes the obligations in writing.
Severability and waiver
If a provision is found unenforceable, it is modified only as far as necessary and the rest of the agreement remains in force. A failure to enforce a provision is not a waiver of the right to enforce it later.
Notices
Formal notices are sent to billing@auralpay.hair and to the client contact named in the statement of work. Notices take effect on delivery, or on the next business day if sent outside business hours.
Independent contractor
auralpay llc acts as an independent contractor. Nothing in these terms creates a partnership, joint venture, agency or employment relationship between the parties.
Publicity
Neither party issues a press release about an engagement without the other written approval, except where disclosure is required by law or by a securities exchange rule.
Counterparts and electronic signature
An engagement may be signed in counterparts and by electronic means. An electronic signature has the same effect as a handwritten signature.
23. Contact
